Job Description:
Donewell Insurance Limited is seeking a highly qualified Company Secretary (CS) to act as a key link between the company, its board of directors, shareholders, regulatory authorities, and other stakeholders. The successful candidate will ensure compliance with legal and regulatory requirements while providing guidance to the Board on governance matters.

Key Responsibilities:
1. Assist the Board in complying with the company’s constitution and relevant laws.
2. Maintain and manage company records, including minutes of meetings, statutory registers, and financial records.
3. Ensure accurate documentation and filing of statutory forms and returns with regulatory authorities.
4. Advise the Board on legal and governance matters, ensuring compliance with all statutory and regulatory requirements.
5. Prepare and issue notices for meetings, coordinate board agendas, and support the Chairperson and Directors.
6. Ensure the confidentiality of corporate matters and uphold integrity in all company affairs.

Qualifications and Requirements: 
1. A relevant academic and professional qualification demonstrating the ability to perform secretarial duties.
2. Must be a lawyer in good standing.
3. Membership of the Chartered Governance Institute is an advantage.
4. Minimum of 12 years of company secretarial experience, with strong knowledge of corporate governance.
5. At least 3 years of experience as a Legal Practitioner in commercial or corporate governance.
